Definitions

In the context of this Incubation Programme, the following terms shall have the following meanings:
– “Organizer of the Incubation Programme”: the Competence Centre called “Smart Agro Hub”, located at 19 Andreas Papandreou Street, Maroussi 151 24, Greece, VAT number 996954656.

  • “Incubation Program”: the Smart Agro Lab Incubation Program conducted by the Incubation Program Organizer, as well as any activity related to the Smart Agro Lab Incubation Program.
  • “Participating Team or Participating Team Members”: the participants in the Induction Programme.
  • “Submission of Entry”: the completed entry form, logo, business plan and other information and data related to the application to the Incubation Programme submitted by the Participating Group.
  • “Judges”: the Committees of the Incubation Programme responsible for the evaluation and assessment of the Applications. The Committees are composed of recognised professionals, academics and researchers in the field of agri-food.
Rules and Conditions of Participation in the Incubation Programme
  1. Entries may only be submitted electronically through the platform available at the distinctive email address xxxxxxxxxxxxxxxxxxxxxxxxxxxxx (hereinafter the “Platform”).
  2. There is no fee for submitting an entry.
  3. Companies, teams and individuals can apply. Each Participant may submit one application to the Incentive Program. Participating Members must be over 18 years of age and either legally reside in Greece or have Greek citizenship, or both.
  4. Of the Participating Team Members, at least one must be aged 40 years or less and must be either a founder or co-founder of the team submitting the entry.
  5. Participating Groups must be active in the agri-food entrepreneurship sector.
  6. Entries must be original work created exclusively by the Participating Team Members. Upon entry into the Qualifying Program, each Participating Team Member represents and warrants to the Qualifying Program Organizer that he or she and/or the Team collectively has the right to present the Entry Submission to the Qualifying Program, that it has all rights and ownership of the ideas submitted, the business plan and any other materials provided as part of the Entry Submission and other activities/materials of the Eligibility Programme and that by submitting an application to the Eligibility Programme, it and/or the Team collectively does not and will not violate any contractual right or right of any third party, including, but not limited to, patent, intellectual property, trade secret, trademark, publicity or privacy rights, or disclose any proprietary or confidential information of any other person or entity.
  7. Participation in the Induction Program is deemed to constitute acceptance of these Terms and Conditions.
  8. Participating Groups must disclose any funding they have already received at the time of Submission.
  9. The Induction Program will be conducted in six (6) stages:
  • Call for expression of interest & selection of proposals (April-May 2023)
    Following an invitation issued by the incubator, proposals are collected from interested groups wishing to join the Smart Agro Incubation. The Commission will examine the submitted proposals, based on predefined criteria, in order to select 50 candidates who will qualify for the admission-intro phase.
  • Introduction phase & Intro (June 2023)
    During the Introduction Phase, 50 teams have the opportunity to attend a basic skills training programme on the essential needs of modern business for themselves and their regions even if they do not attend the whole programme.
  • Phase A Incubation: Idea (July 2023)
    Phase A Incubation lasts 1 month and up to 35 teams will be selected to proceed. The teams will receive specialized support for the development and formulation of their business idea, for the definition of the business model, while opportunities for synergies with other startups within the incubator are also being considered.
  • Incubation Phase B: Business (September – December 2023)
    The 20-25 selected ideas/ teams will continue in the main incubation phase, the second incubation phase (business), lasting four months. In this phase, counselling and guidance is provided at an individual level to the teams. Through this stage, each team is given the opportunity to further develop their product/service and come into contact with the stakeholders and the business environment of the region that will then be able to give them the necessary impetus for the next step. For the first time, teams have the opportunity to present the product/service they are developing and test its viability and/or applicability.
  • Incubation Phase 3: Launch (January 2024)
    The final incubation phase, phase 3 (launch), will see up to 12 teams progress, during which teams and products are finalised, businesses are set up and receive additional personalised mentoring. The teams will now have completed the process of developing their business with the assistance of the Region, local economic development agencies and specialist consultants, taking every possible step to ensure their success.
  • Graduation (February 2024)
    Upon completion of the programme, a series of dissemination and publicity actions will be launched to highlight the results of the programme, as well as the communication support and extroversion of the new businesses. The actions will include the presentation of the start-ups to SMEs, the Greek and international markets, their participation in roadshows and other networking activities in Greece and abroad, which will give a dynamic boost to the start-ups.
  1. Submissions will be evaluated on the basis of the following criteria:
    – the innovation of the idea and whether it can be developed further and/or the business model
    – the qualifications and experience of the team
    – the business maturity and overall quality of the Participating Group’s start-up business
    – the achievements
    – market opportunities
    – the financial capacity
  1. Submissions should be subject to at least one of the Thematic Categories of the Incubation Programme:
  • Products and services to improve the environmental and economic efficiency of farms (and livestock farms) = Smart farming
  • Agri-food chain / post-harvest / Products and services to improve the agri-food supply chain
  • Circular economy / Technological tools and services / Bioeconomy /
  • IoT services & AI & Earth observation with horizontal applications in the agri-food sector.
  • Environmental sustainability services and products
  • Integration of renewable/alternative technologies (hydrogen, etc.) in the agri-food sector
  • Alternative forms of protein
  • Innovative forms of organisation in primary/secondary production ? (e.g. Airbnb on agricultural machinery)
  1. Participants in the Induction Program will be notified personally by phone or email.
  2. Upon acceptance into the Acceleration Programme, participants will be required to provide the contact details of the person who will represent the team and send the required supporting materials within a specific time frame that will be requested.
  3. It is the responsibility of the Participating Teams to regularly check the Organiser’s website www.smartagrohub.gr/smart-agro-lab/ for any updates and/or amendments to the procedures and timetable.
  4. From the Participating Teams of the Induction Programme, at least one member of the Participating Team must be present at all required sessions of all phases of the Induction Programme, as well as at the final Graduation ceremony.
  5. All Judges have full discretion in their decisions. The latter cannot be challenged or contested by anyone for any reason whatsoever. The Judges have signed a non-disclosure agreement (NDA) with the Organiser of the Induction Programme.
  6. The Promoter of the Qualification Program reserves the right to exclude at any time any Participating Team that in its sole discretion violates the letter or spirit of these Qualification Program Terms and Conditions. The decisions of the Run Program Organizer are final and are at the sole discretion of the Run Program Organizer. Any violation of these Terms and Conditions will result in the Participating Team’s disqualification from the Incentive Program, as well as the loss of any privileges granted to the Participating Team.
  7. Any Participating Team or Participating Team Member engaging in unethical activities, including copying, cheating or any activity that may negatively affect the image of the Promoter of the Event or the Event Programme, will be disqualified. This decision will be taken by the Organiser of the Demonstration Programme. The decision to disqualify on this ground is final, at the sole discretion of the Organiser of the Induction Programme, and is not subject to appeal.
  8. Participating Teams will comply with all applicable laws related to their Entry Submission and their participation in the Incubation Program.
  9. Prior to submitting an online application, Participating Teams are requested to take all necessary steps to ensure adequate protection of the intellectual property described in their Submission (i.e. intellectual property files, patent and copyright documents, etc.).
  10. Any content included in the Entry Submission (including the identity of the Entrant Team Members and the video) and any work carried out during any stage of the Rollout Programme may be disclosed by the Organiser of the Rollout Programme for any purpose related to the Competition or for publicity purposes and will not be considered confidential.
  11. The Participating Teams grant to the Promoter of the Qualification Programme a non-exclusive, irrevocable, worldwide licence to reproduce and disclose their Entry Submission and any work carried out during any stage of the Qualification Programme by any means available for any purpose related to the Competition or for publicity purposes. The Participating Teams represent and warrant that they have no claims against the Promoter of the Incubation Programme arising from such use of the Entry Submissions.
  12. Participating Groups may only use technologies for which they have a license. This may mean that they created the technology or that they have the express (i.e. written) permission of the person or entity that owns the intellectual property to use it as described in the application. The Participating Team Members shall indemnify the Organiser of the Qualification Programme and the Members of the Committees and the Judges for any claims and liability arising from claims of infringement of third party rights by the Participating Teams or members of the Participating Teams.
  13. In case of any doubt regarding the intellectual property of a third party or any other element of the Participating Team’s Entry Submission, the Organizer of the Incentive Program encourages the Participating Team to seek independent legal counsel. The Organizer of the Demonstration Program does not undertake to provide any legal advice on intellectual property or other matters requiring legal advice.
  14. The Participating Teams agree to use any service and support of the Incubation Programme they receive to further develop their idea in the fields of agrotechnology and food technology.
  15. The Organizer of the Promotion Programme shall not be liable to any Participating Team Member in the event of any legal action against the Participating Team or in connection with the Participating Team’s Entry Submission.
  16. The Promoter of the Promotion is not responsible in any way for any Agreements between the Participating Team or a Participating Team Member and any third parties.
  17. Materials submitted as part of the Demonstration Program are not returnable and may be used by the Demonstration Program Organizer for publicity purposes. This is not intended to confer on the Promoter of the Promotion any proprietary or intellectual property rights in the Competition Entrants, the Teams or entities associated with the Teams.
  18. The Participating Teams and Participating Team Members agree that they will not use the Trade Name of the Run Program Promoter or any variation, adaptation or abbreviation thereof or any trademark or logo belonging to the Run Program Promoter in any advertising without the written permission of the Run Program Promoter.
  19. In no case (i) the organiser of the Demonstration Programme, their administrators, directors, officers, employees or (ii) the judges of the Incentive Program (collectively, the “Parties”) shall not be liable for any advice, information or decision made during the Incentive Program or for any direct, indirect, consequential, incidental, consequential or special damages of any kind including economic or property damage and lost profits, regardless of whether the Party or Parties had notice, reason to know or already knew of the possibility of such damages.
  20. All Participating Teams agree to participate in media and press coverage of the Competition. These reports include but are not limited to:
  21. a) All Participating Groups may be invited to provide a short written description that will be available to the media and may be made public, either in part or in full.
  22. b) All Participating Teams may be invited to speak in media interviews about the Induction Programme when requested by the Induction Programme Organiser.
  23. c) Participation in the media and press shall in no case require Participating Groups to disclose any proprietary or other confidential information relating to their business.
  24. The Organizer of the Live Programme shall not be liable if, for reasons beyond their control (including but not limited to, force majeure, technical problems, lack of network coverage, network overload, network disconnection, incorrect application submission) or beyond the control of any third party transferring the files a) the transmission of Entry Submissions, including videos, is delayed or fails; b) the Platform is unavailable to applicants for any period of time; c) the files maintained on the Platform are partially or completely destroyed. Otherwise and in any case the Organizer of the Demonstration Program in the above cases is released without penalty from their obligations in relation to the Contest.
  25. After the end of the Invitational Program, any obligation of the Organizer of the Invitational Program ceases. The Organiser of the Demonstration Programme has and assumes no liability to the participants.
  26. Participation in the Incubation Programme requires that the interested parties have access to the Internet by their own technical means. In addition, the Organizer of the Demonstration Program is not responsible for any charges to the Participating Teams. In particular, no compensation is foreseen for expenses incurred as a result of participation in the Induction Programme (e.g. accommodation, travel expenses, production materials, etc.).
  27. The Organizer of the Qualification Program reserves the right to cancel, postpone, cancel or modify the Qualification Program for any reason without prior notice to the Participating Teams. The Promoter of the Qualification Programme shall not be liable for any such cancellation, postponement, cancellation or modification. The Organizer of the Qualification Program shall promptly and properly notify the Participating Teams of any such cancellation, postponement, cancellation or modification.
  28. The Promoter of the Giveaway Program reserves the right to change and/or modify any of these Terms and Conditions of the Giveaway Program without the prior consent of the participants. The Organiser of the Demonstration Programme will inform about these modifications through announcements on the Demonstration Programme website www. smartagrohub.gr/smart-agro-lab/
  1. The Organiser of the Test Programme is not responsible for any changes to the Test Programme dates and schedule.
  2. The Organizer of the Demonstration Programme shall not be liable in case of interruption, postponement, cancellation or cancellation of the Demonstration Programme due to external factors or force majeure (including but not limited to natural disasters, strikes, war, acts or threats of terrorism, accidents, fires, floods or other natural disasters or social disturbances, etc.) that make it extremely difficult or impossible to conduct the Induction Programme and that are beyond their control and therefore the liability of the Induction Programme Organiser from their obligations under the Induction Programme is hereby waived without penalty.
  3. The Organizer of the Demonstration Program has the right to register, reproduce aspects of the Team Member Participants’ personalities, such as their name, image, voice, statements, quotes or interviews, video scenes/images in any medium, as well as to publish, present, broadcast such audio, visual or audiovisual material relating to their participation in the Induction Programme, without any time, place or other kind of restriction and without any financial charge.
  4. During the course of the Trial Program, the Trial Program Organizer will collect and process the personal data of the Team Member Participants (including name, e-mail address, postal code, date of birth, mobile phone number, image and video files), which will be processed for the purpose of conducting the Trial Program and its promotion by the media.
  5. The Participating Team Members expressly consent to the use of their personal data by the Event Organiser as a result of their participation in the Event. Consent may be withdrawn at any time free of charge by sending an email to the Incubation Programme Organiser at [email protected]. In case of withdrawal of consent, the Organizer of the Demonstration Program will not be able to process the personal data of the Team Member Participants for their participation in the Demonstration Program and therefore their participation will be cancelled. Any withdrawal of consent by participants will not affect the lawfulness of the processing prior to the withdrawal of consent.
  6. The recipients of the participants’ personal data will be mainly the persons employed by the Organizer of the Demonstration Program for the purposes of conducting the Demonstration Program. Personal data may be transferred to third parties acting on behalf of the Organiser of the Hosting Programme for the purposes mentioned above. The Organizer of the Experience Program will also disclose personal data to third parties only if there is a legal obligation to do so or if the Organizer of the Experience Program is obliged to do so by a court and/or prosecutor’s decision/order. Regardless of the destination of the transfer, personal data will only be disclosed where there is a strict need for it and always in accordance with appropriate security safeguards (such as the EU Standard Contractual Clauses).
  7. The personal data of the participants will be kept for as long as strictly necessary for the purposes of the Experience Program and will be securely deleted by the Organizer of the Experience Program as soon as it is deemed that the purposes of their collection and processing have been fulfilled.
  8. Each Participating Class Member has the right of access to his/her personal data, in the sense that he/she has the right to request information about all his/her personal data relating to him/her, the purposes of the processing of the data, the recipients of the data, the duration of the processing, his/her rights in relation to this processing. In addition, the participant has the right to request the correction of inaccurate personal data. Also, if the legal requirements are met, the participant has the right to request the deletion of his/her personal data, the right to restrict the processing, the right to data portability and the right to object to the processing. Finally, participants have the right to lodge a complaint with the relevant Supervisory Authority.
  9. If a Participating Team Member wishes to exercise any of his/her rights as a data subject, he/she may send an email to the Organiser of the Acceleration Programme at [email protected]. The Organiser of the Incubation Programme is considered a Controller within the meaning of the relevant legislation.
  10. These Terms and Conditions and any dispute or claim arising out of or relating to them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Greece.
  11. The Greek courts have exclusive jurisdiction for any claim arising from or related to the Tender.
